Terms of Service
and Privacy Policy

These documents are in two parts. Part A (Terms of Service) governs your use of the Tap2Tip service. Part B (Privacy Policy) explains how we handle personal data. Both apply to everyone who uses Tap2Tip — guests who leave a tip, staff whose tags are tapped, and the companies that operate the service at their sites.

Supersedes

This version replaces the TipEase Terms of Service and Privacy Policy dated October 2025 in full. It reflects the Tap2Tip service model: NFC wristbands and lanyard cards, payment through Stripe Connect directly into the partner company’s own bank account, and a platform fee of 7.5% of each tip. TipEase no longer holds, pools or transfers tip funds at any stage.

Part A

Terms of Service

01Who we are and what these Terms cover

1.1
Tap2Tip is a cashless tipping service operated by TipEase FZ-LLC, a company registered in the Meydan Free Zone, Dubai, United Arab Emirates (“TipEase”, “we”, “our” or “us”).
1.2
These Terms of Service (“Terms”) apply to the Tap2Tip website and tipping pages, the staff and manager applications, the manager dashboard, the NFC hardware we supply, and any related service we make available (together, the “Platform”).
1.3
By tapping a Tag, leaving a tip, logging in to a staff or manager account, or entering into a Company Agreement with us, you agree to these Terms. If you do not agree, do not use the Platform.
1.4
Where a company has signed a separate written agreement with us (a “Company Agreement”), and there is a conflict between that agreement and these Terms, the Company Agreement prevails for that company.

02Definitions

03What Tap2Tip is — and what it is not

3.1
Tap2Tip is a technology platform that lets a Guest leave a cashless tip by tapping their phone against a Tag. The Tipping Page is a web page: no app, download or account is required of the Guest.
3.2
TipEase is not a bank, payment institution, money remitter, money services business, exchange house or financial institution. We do not provide payment services, credit, custody or money transfer.
3.3
TipEase does not hold, pool, control or transmit Tip funds at any point. Payments are processed by Stripe and settle directly into the Company’s own Stripe Account and from there to the Company’s own bank account. There is no TipEase wallet, no platform balance, and no TipEase-held float. Any earlier arrangement under which TipEase held tips in transit for weekly or monthly settlement no longer applies and has been withdrawn.
3.4
TipEase is not an employer, employment agency, payroll provider, tax agent or benefits administrator in relation to any Staff User.

04Eligibility, accounts and recipients

4.1 Age

You must be at least 18 years old to leave a Tip or to hold any Tap2Tip account.

4.2 Guests

Guests do not need an account, and are not asked to register, download anything or store card details in order to leave a Tip.

4.3 Companies

A Company must be a validly registered legal entity holding a current trade licence, and must complete Stripe’s onboarding and identity verification before Tags can be activated. By onboarding, the Company confirms that the person completing onboarding is authorised to bind it, that the information supplied is accurate and current, and that it will keep that information up to date.

4.4 Staff Users

A Staff User account is created at the direction of the Company. It is a limited account: a Staff User can see Tips attributed to their own Tag and can activate or pause that Tag. A Staff User cannot withdraw funds, does not hold a balance with TipEase, and is not asked for bank details, because Tips settle to the Company and not to the individual.

4.5 Recipients are Companies

Tips are received by Companies. TipEase does not currently offer Tap2Tip to individual, self-employed or unaffiliated recipients, and does not make payments to individuals.

4.6 Individual Recipients (future)

We may in future make Tap2Tip available to individual recipients who are not onboarded through a Company (“Individual Recipients”). If we do, additional terms will apply — including identity verification, direct payout arrangements and separate fee terms — and those terms will be published and accepted before any Individual Recipient can receive a Tip. Until then, no clause in these Terms should be read as permitting an individual to receive Tips directly.

4.7 Account security

You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at info@tipease.me if you believe an account has been compromised. Companies are responsible for the acts and omissions of their managers and Staff Users on the Platform.

05Tags and hardware

5.1
Ownership. Tags supplied by TipEase remain the property of TipEase at all times unless the Company Agreement expressly transfers title. Tags are provided on loan for use with the Platform only, for the duration of the Company Agreement.
5.2
Cost. During the pilot phase, Tags are supplied free of charge, with no setup fee, no monthly fee and no minimum quantity. After the pilot phase, hardware charges may apply as set out in the Company Agreement.
5.3
Return. On termination or expiry of the Company Agreement, the Company must, within 30 days and at our request, return all Tags in its possession or pay the then-current replacement cost of any Tag not returned. Tags not returned or paid for may be permanently deactivated.
5.4
Care and use. The Company must keep Tags in serviceable condition, report lost, stolen or damaged Tags promptly so they can be deactivated, and must not clone, re-programme, dismantle, obscure, re-label or apply a Tag to any purpose other than opening the Tipping Page to which it is mapped. Reasonable wear and tear is expected; Tags damaged, lost or destroyed may be replaced at our discretion and, after the pilot phase, at the Company’s cost.
5.5
What a Tag contains. Tags are passive: they hold no battery, no payment credentials and no personal data. A Tag holds only a non-sequential identifier that resolves to a Tipping Page.
5.6
Branding. Co-branded hardware is produced only from artwork agreed in writing by both parties. Each party retains ownership of its own trade marks and grants the other a limited licence to use them for that purpose only, for the term.

06Tag mapping and attribution

6.1
The Company maps each Tag to a person, team or site through the manager dashboard. The Company is responsible for the accuracy of that mapping, for keeping it current when staff join, move or leave, and for informing the individuals concerned that a Tag has been assigned to them and what data this generates (see Part B, section 6).
6.2
Every Tip is timestamped and recorded against the Tag that was tapped. Attribution is a factual record of which Tag was tapped and when. It is not a determination by TipEase of who is legally entitled to any amount, which is a matter for the Company’s own tips policy and applicable law.
6.3
Tags can be reassigned by the Company at any time. Reassignment applies prospectively; historic records remain attributed to the Tag and the assignment in force at the time of the Tip.

07Tips

7.1
Tips are voluntary. Nothing on a Tipping Page obliges a Guest to leave a Tip, and Companies must not present a Tip as compulsory, as a service charge, or as consideration for goods or services.
7.2
Tips are made in UAE Dirhams (AED). The minimum Tip is AED 5. There is no fixed maximum. TipEase and Stripe may nevertheless apply transaction, velocity or cumulative limits, and may decline, delay or reverse an individual payment, where reasonably necessary to manage fraud, card-testing, chargeback or anti-money-laundering risk. Any limits in force are shown on the Tipping Page, and we may vary them.
7.3
Suggested amounts shown on a Tipping Page are prompts only, and a Guest may choose another amount within the permitted range.
7.4
A Tip is a payment made to the Company. The Company receives it into its own account and then distributes it under its own tips policy (see clause 10).
7.5
A Guest may be invited to leave an optional rating or short comment alongside a Tip. This is optional and is never a condition of payment.

08Fees

8.1 Platform Fee

TipEase charges a Platform Fee of 7.5% of each Tip, deducted at the point of settlement, unless a different rate is agreed in writing in a Company Agreement.

8.2 We may change the Platform Fee

TipEase reserves the right to amend the Platform Fee at any time and at its sole discretion. We will publish the revised rate on tipease.me and notify Companies through the manager dashboard or by email. Any change applies only to Tips made after the revised rate takes effect. Continued use of the Platform after that date constitutes acceptance of the revised rate; a Company that does not accept it may terminate under clause 13.

8.3 Processing Fee

Stripe’s payment processing cost is added to the Guest’s total at checkout and is shown as a separate line before payment is confirmed. It is calculated so that the Tip amount chosen by the Guest is not reduced by processing costs. Processing rates are set by Stripe and the card schemes and vary by payment method; they may change without notice from us.

8.5 No other charges during the pilot

During the pilot phase there is no setup fee, no monthly or subscription fee, no hardware charge and no minimum term. Outside the pilot phase, any additional charges will be set out in the Company Agreement before they apply.

8.6 Taxes

All fees stated in these Terms are exclusive of VAT and of any other tax, levy or duty. Where VAT or any other tax is or becomes chargeable on the Platform Fee, it will be added to that fee and, where required, a valid tax invoice will be issued. Each Company is responsible for its own tax position in respect of Tips it receives and distributes, including any VAT, corporate tax or payroll tax consequences of its own tips policy.

09How money moves

9.1
Payments are processed by Stripe Payments Europe, Ltd. and its affiliates (“Stripe”) through Stripe Connect. Tips are taken as destination charges on the TipEase platform account with the Company’s Stripe Account as the destination.
9.2
By onboarding, the Company enters into the Stripe Connected Account Agreement directly with Stripe and is bound by it. Stripe, not TipEase, is responsible for payment processing, settlement timing, payout schedules, KYC and sanctions screening on the connected account.
9.3
Payouts from the Stripe Account to the Company’s bank account follow Stripe’s standard payout schedule for that account. TipEase does not control, guarantee or accelerate payout timing.
9.4
If a Company has not completed onboarding, or Stripe has disabled charges or payouts on its account, tipping will be unavailable at that Company’s Tags until the position is resolved. A Guest tapping such a Tag will see a message that tipping is not currently available, rather than a failed payment.
9.5
The Company is responsible for the accuracy of its bank details held with Stripe. TipEase cannot recover funds sent to an account the Company has incorrectly specified.

10Distribution to staff; no employment relationship

10.1
Tips arrive in the Company’s account, and what happens next is the Company’s decision and the Company’s responsibility. Common approaches include passing the full net amount to the individual whose Tag was tapped, pooling and sharing across a team, or retaining a defined share. TipEase does not set, approve or enforce that policy.
10.2
The Company warrants that it will distribute Tips in accordance with the tips policy it has communicated to its staff, that this policy complies with applicable UAE law and with the Company’s own contracts of employment, and that it has informed its staff how Tap2Tip works before issuing Tags.
10.3
TipEase provides no payroll, wage protection (WPS), tax withholding, end-of-service, gratuity or benefits service, and takes no responsibility for the calculation, timing or payment of any amount by a Company to any individual.
10.4
Figures shown in the staff view are a record of Tips received against a Tag, net of fees. They are not a payslip, not a statement of account, and not a statement of what a Staff User is owed by their employer.
10.5
Nothing in these Terms creates any employment, agency, partnership or joint venture relationship between TipEase and any Staff User, or between TipEase and any Company.
10.6
The Company indemnifies TipEase against any claim brought by, or on behalf of, any of its staff in relation to the distribution, non-distribution or amount of Tips.

11Refunds, chargebacks and disputes

11.1
Refunds. Tips are voluntary and are, as a rule, non-refundable. A refund may be made where the Company agrees to it or where it is required by law — for example where a Tip was clearly made in error or in a duplicated amount. Refunds are processed through Stripe from the Company’s Stripe Account.
11.2
Fees on a refund. Where a Tip is refunded in full, TipEase will return the Platform Fee charged on it. The Processing Fee may not be recoverable from Stripe and may not be returned.
11.3
Chargebacks. Chargebacks and payment disputes are handled by Stripe and the card schemes under their rules. The disputed amount and any dispute fee are debited from the Company’s Stripe Account. TipEase will provide the transaction records we hold to assist a Company in responding, but we are not a party to the dispute and cannot determine its outcome.
11.4
Service and distribution disputes. Any dispute between a Guest and a Company about service, or between a Staff User and a Company about how Tips have been distributed, is a matter for the Company. TipEase is not an arbiter of such disputes.
11.5
Platform errors. If a Tip is misattributed or incorrectly processed because of a fault in the Platform, tell us at info@tipease.me within 60 days and we will investigate and correct the record where we can.

12Acceptable use

You must not use the Platform to:

We may investigate suspected breaches and may deactivate a Tag, suspend a login, suspend a Company account, or report the matter to Stripe or the relevant authorities.

13Suspension, termination and the pilot

13.1
During the pilot phase, either party may terminate on written notice at any time. There is no minimum term, no cancellation fee and no commitment to a minimum volume of Tips.
13.2
We may suspend or terminate access immediately where we reasonably believe there has been a breach of clause 12, where Stripe suspends or restricts the Company’s account, where we are required to do so by law or by a regulator, or where continuing would expose TipEase, a Guest or a Staff User to material risk.
13.3
On termination: Tags are deactivated, dashboard and staff access ends, and Tags must be returned or paid for under clause 5.3. Tips already authorised will complete and settle normally. Records are retained as set out in Part B, section 10.
13.4
Clauses that by their nature should survive termination — including fees due, liability, indemnities, confidentiality, intellectual property and governing law — continue to apply.

14Availability and changes to the service

14.1
The Platform is provided on an “as is” and “as available” basis. We take reasonable steps to keep it reliable and secure, but we do not warrant uninterrupted or error-free operation, and access depends on third parties including Stripe, the mobile wallets, telecommunications networks and the Guest’s own device.
14.2
Tap2Tip is in active development. Features may change, be added or be withdrawn. During the pilot phase in particular, the Company acknowledges that it is using pre-release software and agrees to report defects so they can be fixed.
14.3
We may carry out maintenance, and will give reasonable notice of planned downtime where practical.

15Intellectual property and use of data

15.1
The Platform, the Tap2Tip and TipEase names and logos, the software, the dashboards and all associated intellectual property belong to TipEase or its licensors. We grant each Company a non-exclusive, non-transferable, revocable licence to use the Platform for its own internal business purposes during the term. No other rights are granted.
15.2
A Company may upload its logo and brand assets, and a Staff User may upload a photograph of themselves, for display on Tipping Pages and in the Platform. Uploaded material is stored on our servers. By uploading it you confirm that you own it or have the right to use it, and you grant TipEase a limited, non-exclusive licence to host, reproduce and display it for the sole purpose of providing the service, for as long as it remains on the Platform. A Company retains ownership of its own trade marks, logos and site names; a Staff User retains ownership of their own photograph. Either may remove uploaded material at any time through the Platform or by contacting us, and we will stop displaying it and delete it in accordance with Part B.
15.3
We may use aggregated and anonymised data derived from use of the Platform — for example tipping patterns by hour, by sector or by region — to operate, secure, improve and benchmark the service and to produce insight products. Such data will not identify any Company, site, Staff User or Guest, and will not be published in a form from which any of them could reasonably be identified.
15.4
If you send us feedback or suggestions, we may use them without obligation or payment.

16Confidentiality

Each party will keep confidential the other’s non-public commercial information disclosed in connection with the Platform, including pilot terms, fee arrangements and tipping volumes, and will use it only for the purposes of the relationship. This does not apply to information that is public through no breach, was already lawfully held, or must be disclosed by law or to a regulator.

17Limitation of liability

17.1
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any liability that cannot lawfully be excluded under UAE law.
17.2
Subject to clause 17.1, TipEase is not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, business opportunity, anticipated tips or data.
17.3
Subject to clause 17.1, TipEase is not liable for: the acts or omissions of Stripe, the card schemes or the mobile wallet providers; the timing or failure of any payout; a Company’s distribution or non-distribution of Tips to its staff; the loss, theft or misuse of Tags in a Company’s possession; or any dispute between a Guest, a Staff User and a Company.
17.4
Subject to clause 17.1, TipEase’s total aggregate liability arising out of or in connection with the Platform in any 12-month period is limited to the greater of (a) the total Platform Fees actually earned by TipEase from the relevant Company in the three months immediately preceding the event giving rise to the claim, and (b) AED 1,000. Where the Platform has been supplied free of charge during the pilot phase, limb (b) applies.

18Indemnity

The Company will indemnify and hold harmless TipEase FZ-LLC, its officers, employees and affiliates against any claim, loss, damage, fine or expense (including reasonable legal fees) arising from its breach of these Terms, its misuse of the Platform, its tips policy or distribution of Tips, its handling of staff data, or its breach of applicable law.

19Third-party services

Payment processing is provided by Stripe, and payment authorisation by Apple Pay, Google Pay, Samsung Pay and the card schemes, each under their own terms and privacy notices. Your use of those services is subject to their terms, and we are not responsible for them.

20General

21Changes to these Terms

We may update these Terms from time to time. The current version is always published at tipease.me with its effective date. Where a change is material, we will notify Companies by email or through the dashboard before it takes effect. Continued use of the Platform after the effective date constitutes acceptance.

22Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the Dubai Courts.

Part B

Privacy Policy

This Privacy Policy explains how TipEase FZ-LLC collects, uses, shares and protects personal data when you use Tap2Tip. It applies to Guests who leave a Tip, Staff Users whose Tags are tapped, and the people who manage a Company’s account. Terms defined in Part A have the same meaning here.

01Who is responsible for your data

1.1
TipEase FZ-LLC, Meydan Free Zone, Dubai, UAE, is the controller of the personal data described in this Policy, except where section 2 says otherwise. We process personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and its implementing regulations, and with other applicable law.

02Our role and the Company’s role

2.1
For Guests, TipEase is the controller of the data collected through the Tipping Page.
2.2
For Staff Users, responsibility is shared. The Company decides which of its workers receive a Tag, how Tags are mapped, and how it uses tip records in managing its people — for those purposes the Company is the controller and TipEase acts on its instructions. TipEase is separately a controller for operating, securing and improving the Platform, meeting our own legal obligations, and preventing fraud.
2.3
Stripe is an independent controller for the payment data it processes, under its own privacy policy.
If you are a Staff User

Questions about why your employer has issued you a Tag, how tip records are used in your workplace, or how tips are shared should be raised with your employer in the first instance. You can still contact us directly at privacy@tipease.me to exercise your rights over the data we hold.

We do not sell or rent personal data, and we do not use tip records to build advertising profiles.

06Tip records and visibility at work

6.1
Every Tip is recorded against the Tag that was tapped. This means a Company’s managers can see, for each Tag, how many Tips it received, when, at which site, the amounts and any ratings left — including aggregate views such as tips by hour, comparisons between sites and rankings of Tags by tips received.
6.2
This is performance-related information about identifiable people. Companies using Tap2Tip must tell their staff, before issuing a Tag, that these records are generated and visible to management, and must have a lawful basis for using them. Companies must not use tip records as the sole basis for a disciplinary decision, and must not use them in a way that is unfair, discriminatory or contrary to UAE labour law.
6.3
Staff Users can see the Tips attributed to their own Tag through their login, and can pause their own Tag at any time — for example if it is lost, or if they do not wish to receive Tips during a period. A Staff User cannot see another individual’s tip records.
6.4
Guests are not identified to Companies or to Staff Users. A Company sees that a Tip was made, not who made it, unless a Guest chooses to include their name in a comment.

07Cookies and analytics

7.1
We use a small number of strictly necessary cookies to make the Tipping Page, staff app and dashboard work — for example session and security cookies. These cannot be switched off without breaking the service.
7.2
We use Google Analytics to understand how our pages are used, how they perform and where they fail. This sets analytics cookies and shares usage data with Google, which processes it under its own privacy policy. We use it for measurement only, not for advertising.
7.3
You can prevent analytics cookies by blocking or deleting cookies in your browser settings, by using your browser’s private browsing mode, or by installing Google’s opt-out browser add-on at tools.google.com/dlpage/gaoptout. Blocking strictly necessary cookies will stop the Tipping Page and the applications from working correctly.
7.4
We do not run advertising or social media tracking pixels on the Tipping Page, and we do not use analytics data to target advertising to you.

Each processor we engage is bound by contract to keep data secure, to use it only on our instructions, and to comply with applicable data protection law. We do not share personal data with any party for its own marketing purposes.

09International transfers

Our hosting, payment and analytics providers operate infrastructure outside the UAE, so your data may be transferred to and stored in other countries. Where we transfer personal data outside the UAE we do so on the basis permitted by the UAE Personal Data Protection Law — to a jurisdiction recognised as providing an adequate level of protection, under contractual safeguards with the recipient, or with your consent — and we take reasonable steps to ensure it remains protected to the standard described in this Policy.

Where a record must be kept for a legal or financial purpose but is no longer needed to identify a person, we anonymise it rather than keep it in identifiable form.

11Security

11.1
We use encryption in transit and at rest, access controls on a least-privilege basis, audit logging, and monitoring of our infrastructure. Payment credentials never reach our systems.
11.2
Tag identifiers are non-sequential and non-guessable, so a Tipping Page cannot be found by trying nearby numbers.
11.3
No system can be guaranteed completely secure. If a personal data breach occurs that is likely to cause harm, we will notify the UAE Data Office and affected individuals as required by law and without undue delay.

12Your rights

Under the UAE Personal Data Protection Law you may:

To exercise any of these rights, email privacy@tipease.me. We may need to verify your identity first. We will respond within 30 days, and will tell you if we need longer or cannot comply, and why. Where the Company is the controller of the data in question, we will pass your request to them and support them in answering it.

13Children
